Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Yaragudi website at yaragudi.com and the Yaragudi platform (together, the “Service”). The Service is provided by Yaragudi Ltd (“Yaragudi”, “we”, “us”).
By accessing the website or signing an order form for the Service, you agree to be bound by these Terms. If you are agreeing on behalf of an organisation, you confirm you have the authority to do so.
1. The Service
Yaragudi provides AI-powered EU AI Act compliance intelligence. Our cloud connectors scan customer-authorised AWS, Google Cloud and Microsoft Azure environments using read-only credentials, and Claude AI reasons over the resulting evidence to produce article-by-article compliance assessments. The Service does not modify customer infrastructure under any circumstances.
2. Eligibility
The Service is intended for organisations subject to or affected by Regulation (EU) 2024/1689 (the EU AI Act) and equivalent legislation. You must be at least 18 years old and authorised to bind your organisation to commercial terms.
3. Customer obligations
You agree to:
- Provide accurate cloud-account credentials with read-only scope as specified in our onboarding documentation
- Not use the Service to scan infrastructure you do not own or are not explicitly authorised to assess
- Treat compliance verdicts as advisory; final compliance decisions rest with you and your legal counsel
- Comply with all applicable laws including the EU AI Act, GDPR, and your local data-protection regime
- Not reverse-engineer, scrape, or attempt to access the underlying source code of the Service
4. Fees and payment
Fees for the Service are set out in your order form or on our pricing page. All fees are exclusive of VAT and other applicable taxes. Invoices are payable within 30 days unless otherwise agreed. Late payments accrue interest at 4% above the Bank of England base rate.
Annual plans are non-refundable except where required by law. Pilot scans are non-refundable once the scan has been initiated.
5. Intellectual property
Yaragudi retains all right, title and interest in the Service, including all software, models, prompts, knowledge bases and documentation. You retain all rights in your data and your cloud configurations. We grant you a non-exclusive, non-transferable, non-sublicensable licence to use the Service for the duration of your subscription.
6. Confidentiality
Each party agrees to keep confidential any non-public information disclosed by the other in connection with the Service. This includes your cloud configurations and scan results, our pricing and methodology, and any commercial discussions.
7. Disclaimer
The Service provides compliance intelligence and recommendations. It does not constitute legal advice. Yaragudi’s assessments are AI-generated based on configuration evidence and the EU AI Act’s text and prevailing guidance. You are responsible for engaging qualified legal counsel for binding compliance opinions and for any conformity assessment, declaration of conformity, or registration in the EU AI Act database.
The Service is provided “as is”. To the maximum extent permitted by law, Yaragudi excludes all implied warranties of merchantability, fitness for purpose, and non-infringement.
8. Limitation of liability
Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
Subject to the above, Yaragudi’s total aggregate liability arising out of or in connection with the Service in any 12-month period is capped at the fees paid by you in that period. Yaragudi is not liable for indirect, consequential, or special damages including loss of profit, regulatory fines, or reputational harm.
9. Term and termination
Either party may terminate the Service for material breach if the breach is not cured within 30 days of written notice. On termination we will delete your customer data within 90 days, except where retention is required by law.
10. Governing law
These Terms are governed by the laws of England and Wales. The courts of England have exclusive jurisdiction over any dispute arising from these Terms, except that we may bring proceedings to enforce our intellectual property in any jurisdiction.
11. Changes
We may update these Terms by posting a revised version on this page. Material changes will be notified to active customers by email at least 30 days before they take effect.
